Araynge Terms of Service
Effective date: October 11, 2026
1. Agreement to These Terms
These Terms of Service (the "Terms") are a binding agreement between you and Tea Technologies, Inc., a Delaware corporation ("Tea Technologies," "we," "us," or "our"), governing your access to and use of the Araynge mobile applications for iOS and Android, the website at araynge.app and its related domains, and every feature, tool, and service we make available through them (together, the "Service").
These Terms incorporate our Privacy Policy and our Cookie and Local Storage Policy, and any feature-specific rules we post inside the Service. If a feature-specific rule conflicts with these Terms, the feature-specific rule controls for that feature only.
BY CREATING AN ACCOUNT, DOWNLOADING OR OPENING THE APP, OR OTHERWISE USING THE SERVICE, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
SECTION 22 CONTAINS A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER. IT AFFECTS HOW DISPUTES BETWEEN YOU AND US ARE RESOLVED. YOU MAY OPT OUT OF ARBITRATION AS DESCRIBED IN SECTION 22.
2. What Araynge Is
Araynge is a verified-presence network for people who work on and around the road. Members appear on a live map, verify who they are, find and follow one another, form circles and crews, exchange messages, post and view road reports, share available truck capacity, list and view loads and jobs, plan truck-appropriate routes, and keep exempt-operation logs and inspection reports. Members include professional drivers, motor carriers, freight brokers, shippers, receivers, vendors, and everyday commuters.
The Service also displays information drawn from public government sources, including carrier and broker registration data published by the Federal Motor Carrier Safety Administration, weather information published by the National Weather Service, and mapping and routing data supplied by third-party providers.
3. What Araynge Is Not
These limits are fundamental to the Service and to the fees we charge. You agree that:
We are not a motor carrier, freight broker, freight forwarder, shipper, or transportation network company. We do not transport property or passengers, arrange transportation for compensation, dispatch vehicles or drivers, set rates, or hold operating authority from the Federal Motor Carrier Safety Administration or any state. We do not take possession of, or responsibility for, any freight.
We are an introduction and verification platform. When members connect through the Service, any agreement they reach is made directly between them. We are not a party to it, we do not guarantee it will be performed, and no payment for freight, transportation, or rides passes through us.
We are not your employer, agent, or partner. Nothing in these Terms or in your use of the Service creates an employment, agency, joint venture, franchise, or partnership relationship between you and us.
We do not provide legal, regulatory, safety, insurance, or financial advice. Information in the Service, including verification badges, public registration data, routes, weather, and hours-of-service planning, is informational only. You remain solely responsible for your own compliance with the Federal Motor Carrier Safety Regulations, state law, your operating authority, your insurance obligations, and every other law that applies to you.
We do not provide an electronic logging device. The logbook features described in Section 9 are not an ELD and are not certified or registered as one.
4. Eligibility
You must be at least eighteen (18) years old to use the Service. By using it, you represent that you are at least 18; that you have not previously been suspended or removed from the Service; that you are not located in a country subject to a comprehensive United States government embargo; that you are not listed on any United States government list of prohibited or restricted parties; and that your use of the Service complies with every law that applies to you.
If you use the Service on behalf of a company, carrier, brokerage, or other organization, you represent that you are authorized to bind that organization to these Terms, and "you" includes that organization.
5. Your Account
Most features require an account. You agree to provide accurate, current, and complete information, including your legal name, and to keep it current. You may not create an account for anyone else, impersonate any person or business, or hold more than one personal account without our permission.
You are responsible for all activity under your account and for keeping your password and devices secure. Each account and each paid seat is for one individual; sharing login credentials is prohibited. Notify us immediately at the contact address in Section 28 if you believe your account has been accessed without authorization.
You may delete your account at any time from Settings inside the app or through the account deletion page on our website. Deletion is described in our Privacy Policy.
6. Verification and Identity
Identity verification. Certain features, badges, and levels of visibility require you to verify your identity. Verification is performed by our identity verification provider and may involve scanning a government-issued identification document and capturing a selfie or short video that is compared with the photo on that document. Before any biometric comparison takes place, we ask for your separate written consent through a consent screen in the Service. If you decline, you may still use the features that do not require verification.
Business verification. Carriers, brokers, and other businesses may verify their business identity by matching account information against public registration records, such as a USDOT number, MC number, or broker authority, and by any additional steps we reasonably require.
What a badge means. A verification badge means only that a member completed the verification steps we required at the time the badge was issued. It is not an endorsement, a background check, a safety rating, a credit check, an insurance verification, or a guarantee of anyone's character, authority, fitness, conduct, or ability to perform. Public registration data can be outdated or wrong. You are solely responsible for your own due diligence before you do business with, ride with, meet, or rely on any other member, including confirming operating authority, insurance, and safety history directly with the relevant government source and the other party.
Our rights. We may refuse, suspend, or revoke verification or a badge at any time if we believe information is inaccurate, incomplete, or fraudulent, or if a member violates these Terms.
7. Location, Presence, and Circles
The map is the core of the Service. When you choose to be visible, the Service collects your device location and places a marker for you on the map. Unless you choose otherwise, other members see only an approximate, rounded location, never your exact position. You may share a more precise location with specific members or circles you select. If you allow location access while the app is closed, the Service continues to update your approximate position only while your visibility is turned on. You can turn visibility off, change who can see you, or revoke location permission at any time in the app or in your device settings.
Circles and crews are groups that members create and join. The member who creates a circle controls who may join it and what it shares. Content and locations shared inside a circle are visible to its members, who may copy, capture, or remember them; we cannot control what other members do with information you choose to share.
Location data can be delayed, approximate, or wrong. Never rely on the Service to locate a person in an emergency. Call 911.
8. Loads, Capacity, Jobs, and Directories
Members may post loads, available truck capacity, jobs, and services, and may browse carrier, broker, and vendor directories built from public records and member profiles. For every such posting and connection:
The posting member is solely responsible for its accuracy, lawfulness, and completeness. We do not verify postings and do not guarantee that any load, truck, job, or service exists, is available, or will be delivered, hauled, filled, or paid for.
Any agreement to haul, broker, ship, receive, hire, or pay is solely between the members who make it. Rates, payment terms, detention, claims, cargo liability, and insurance are matters for those members and their written contracts.
A shipper, broker, or other member who selects a carrier or driver through the Service does so on its own judgment and bears sole responsibility for that selection. Displaying a carrier, a badge, or public registration data is not a recommendation that anyone use that carrier.
You may not post, arrange, or accept freight you are not legally authorized to handle; operate or broker without the operating authority, registration, bond, and insurance the law requires; transport contraband, stolen goods, or hazardous materials without proper authorization, placarding, and training; or use the Service to double-broker, re-broker without consent, steal a load, or misrepresent your identity, authority, or equipment.
Public registration data in the directories is provided as published by the government source. It may be outdated or inaccurate, and it is not a determination by us of any carrier's or broker's safety, fitness, or legal status. If you believe your own listing is wrong, correct it with the government source and let us know.
9. Logbook and Inspection Tools
The Service offers a logbook and a driver vehicle inspection report (DVIR) tool intended for drivers and operations that are exempt from the federal electronic logging device requirement, and as a personal record for others. These tools are not an electronic logging device, are not registered or certified as one, and do not satisfy any ELD mandate. You are solely responsible for determining whether you are exempt, for the accuracy and completeness of every entry, record, signature, and inspection, for keeping the records the regulations require for the periods they require, and for producing records to enforcement officers when asked. Hours-of-service planning, stop suggestions, and inspection mode are aids only. They do not tell you whether you are compliant.
10. Member Content
"Member Content" means anything you submit to the Service, including profile information, photos, videos, messages, posts, reviews, road reports, load and capacity postings, logbook entries, and the metadata attached to them, such as time and location.
You keep ownership of your Member Content. You grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, distribute, adapt, and format your Member Content solely to operate, provide, secure, promote, and improve the Service. This license ends when you delete the content or your account, except for content others have already shared or copied, content we must keep under our Privacy Policy or applicable law, and backups kept for a limited period.
You represent that you own or have the rights to everything you submit and that it does not infringe anyone's rights, invade anyone's privacy, or violate any law. We do not pre-screen Member Content and are not responsible for it, but we may review, remove, restrict, or quarantine any Member Content at any time and for any reason, including content we believe violates these Terms.
11. Road Reports and Reviews
Road reports describe conditions such as crashes, closures, enforcement, weather, parking, and hazards. Reviews describe your experience with another member. Report only what you personally observed or experienced, truthfully and in good faith. Reports may be shown without your name, but we keep a record of who submitted them and may disclose it where the law requires or where we believe it is necessary to protect someone's safety. Reports expire and may be inaccurate by the time others see them. We may remove reports or reviews that appear false, stale, retaliatory, or abusive, and we may limit or suspend members who repeatedly submit them.
12. Conduct Rules
You agree not to:
- harass, threaten, stalk, dox, intimidate, or abuse anyone, or use anyone's location to follow, surveil, or confront them;
- post content that is unlawful, defamatory, obscene, sexually explicit, hateful, or that promotes violence or discrimination;
- impersonate any person, carrier, broker, or business, or misrepresent your identity, authority, equipment, or affiliation;
- commit or attempt fraud, including double brokering, load theft, identity theft, payment fraud, phishing, or chameleon or reincarnated carrier schemes;
- post false road reports, false reviews, or fake loads, trucks, or jobs;
- send spam, unsolicited advertising, or bulk messages;
- scrape, crawl, harvest, or export data from the Service by automated means, or access it through any interface we did not provide;
- probe, scan, or test the vulnerability of the Service, bypass any security or access control, or access non-public areas of our systems;
- copy, decompile, reverse engineer, or create derivative works of the Service, except where the law expressly permits it despite this restriction;
- interfere with or overload the Service, or introduce malware or harmful code;
- use the Service to develop or operate a competing product or data set; or
- help or encourage anyone else to do any of these things.
We may investigate suspected violations, preserve evidence, cooperate with law enforcement and regulators, and suspend or terminate accounts involved.
13. Safe Use While Driving
Your safety and the safety of everyone on the road come first. Do not type, read messages, post, browse the map, or otherwise handle your phone while driving. Commercial drivers must comply with the federal prohibitions on texting and on using a hand-held mobile phone while operating a commercial motor vehicle, and every driver must comply with state and local distracted-driving laws. Use the Service only when you are safely and lawfully parked, or let a passenger operate it for you. Voice and one-touch features must be used only as permitted by law. We are not responsible for any citation, violation, crash, injury, or loss that results from using a device while driving.
14. Subscriptions, Billing, and Cancellation
Free and paid features. Basic membership is free. Some features are available only through a paid subscription, such as driver, carrier, featured listing, and organization seat plans. The features, price, billing period, and any trial terms of each plan are shown to you before you buy.
How you pay. Subscriptions purchased on our website are processed by our payment processor, Stripe, under its own terms. We do not store your full card number. If we offer a subscription as an in-app purchase through the Apple App Store or Google Play, that purchase is billed, renewed, cancelled, and refunded through Apple or Google under their terms, and you manage it in your Apple or Google account settings.
Automatic renewal. YOUR SUBSCRIPTION RENEWS AUTOMATICALLY AT THE END OF EACH BILLING PERIOD AT THE THEN-CURRENT PRICE, AND WE WILL CHARGE YOUR PAYMENT METHOD ON FILE, UNTIL YOU CANCEL. By subscribing, you authorize these recurring charges.
Free trials. If a plan includes a free trial, you will be charged when the trial ends unless you cancel before it ends. We will remind you before a trial of longer than seven days converts to a paid plan.
How to cancel. You may cancel at any time from the billing section of your account settings on the website, or by emailing us at the address in Section 28. Cancellation takes effect at the end of your current billing period, and you keep paid access until then. Cancelling stops future charges.
Refunds. Except where the law requires otherwise, payments are non-refundable and we do not provide refunds or credits for partial billing periods or unused features. If you are charged in error, contact us within thirty (30) days of the charge and we will correct it.
Price changes. We may change subscription prices. We will give you at least thirty (30) days' notice by email or in the Service before a price change applies to your subscription, and the new price takes effect at your next renewal after that notice. If you do not agree, cancel before the change takes effect.
Failed payments and taxes. If a payment fails, we may retry the charge, suspend paid features, or downgrade your account to the free plan. Prices do not include taxes unless stated. You are responsible for all applicable taxes other than taxes on our income.
Organization seats. An organization that purchases seats is responsible for all charges for those seats, for assigning each seat to one named individual, and for removing access when a person leaves the organization.
15. License, Ownership, and Feedback
Your license. Subject to these Terms, we grant you a personal, limited, revocable, non-exclusive, non-transferable license to install and use the app on devices you own or control, and to use the Service, for your own lawful personal or internal business purposes. The app is licensed, not sold. You may not rent, lease, lend, sell, sublicense, or redistribute it.
Our ownership. The Service, including its software, design, maps and map styling, data compilations, verification methods, scoring, text, graphics, and the names and logos "Araynge," "Tea Technologies," "THE TEA," and our related marks, is owned by Tea Technologies, Inc. or its licensors and protected by intellectual property laws. Except for the license above, no rights are granted to you, and all rights not expressly granted are reserved.
Feedback. If you send us ideas, suggestions, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them for any purpose without obligation or attribution to you.
Copyright complaints. If you believe content on the Service infringes your copyright, send our designated agent a notice that includes your physical or electronic signature; identification of the copyrighted work; identification of the allegedly infringing material and where it appears on the Service; your address, telephone number, and email address; a statement that you have a good-faith belief the use is not authorized by the owner, its agent, or the law; and a statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act for the owner. Send notices to Copyright Agent, Tea Technologies, Inc., P.O. Box 102, Seaford, Virginia 23696, or robcarpenter@theteaintel.com. We terminate the accounts of repeat infringers in appropriate circumstances.
16. Third-Party Services and Data
The Service relies on, links to, and displays content from third parties, including mapping and routing providers, weather and government data sources, our identity verification provider, our payment processor, push notification services, and app stores. Your use of their features may be subject to their own terms and privacy policies. We do not control and are not responsible for third-party services, websites, or data, and we do not warrant that government or third-party data is accurate, complete, or current. Your mobile carrier's data, messaging, and other charges apply to your use of the app and are your responsibility.
17. Apple and Google App Store Terms
Apple. If you downloaded the app from the Apple App Store, you and we acknowledge that these Terms are between you and Tea Technologies, Inc. only, not with Apple Inc. ("Apple"), and that we, not Apple, are solely responsible for the app and its content. Your license is limited to using the app on Apple-branded products you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. Apple has no obligation to provide maintenance or support for the app. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, that you paid for the app; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app. We, not Apple, are responsible for addressing any claims by you or any third party relating to the app or your possession or use of it, including product liability claims, claims that the app fails to conform to any legal or regulatory requirement, and claims under consumer protection, privacy, or similar laws. If a third party claims that the app or your possession or use of it infringes that party's intellectual property rights, we, not Apple, are solely responsible for the investigation, defense, settlement, and discharge of that claim. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, may enforce them against you as a third-party beneficiary.
Google. If you downloaded the app from Google Play, these Terms are between you and Tea Technologies, Inc. only, not Google LLC, and your use of Google Play is also subject to Google's terms. Google is not responsible for the app or its content.
18. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, TEA TECHNOLOGIES, INC. DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT LOCATIONS, MAPS, ROUTES, ROUTE RESTRICTIONS, BRIDGE CLEARANCES, WEIGHT LIMITS, HAZARDOUS MATERIALS RESTRICTIONS, WEATHER, TOLLS, FUEL ESTIMATES, HOURS-OF-SERVICE PLANS, ROAD REPORTS, OR PUBLIC REGISTRATION DATA ARE ACCURATE, COMPLETE, OR CURRENT; OR THAT ANY MEMBER IS WHO THEY CLAIM TO BE, IS AUTHORIZED, INSURED, OR SAFE, OR WILL PERFORM. ROUTES ARE SUGGESTIONS ONLY. ALWAYS OBEY POSTED SIGNS, ROAD CONDITIONS, YOUR PERMITS, AND THE LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
19. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER TEA TECHNOLOGIES, INC. NOR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, LOADS, BUSINESS, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THEIR POSSIBILITY.
TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR THE ACTS, OMISSIONS, OR CONDUCT OF ANY MEMBER OR THIRD PARTY, ONLINE OR OFFLINE, INCLUDING ANY LOSS, DAMAGE, THEFT, CARGO CLAIM, NON-PAYMENT, FRAUD, CRASH, PERSONAL INJURY, OR DEATH ARISING FROM A LOAD, HAUL, JOB, RIDE, MEETING, OR TRANSACTION BETWEEN MEMBERS.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND US AND APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY DO NOT LIMIT LIABILITY THAT CANNOT BE LIMITED BY LAW, INCLUDING LIABILITY FOR OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT WHERE THE LAW PROHIBITS SUCH A LIMITATION.
20. Indemnification
You agree to defend, indemnify, and hold harmless Tea Technologies, Inc. and its officers, directors, employees, agents, and contractors from and against any claims, liabilities, damages, losses, fines, penalties, costs, and expenses, including reasonable attorneys' and experts' fees, arising out of or relating to (a) your use of the Service; (b) your Member Content; (c) your violation of these Terms or of any law, regulation, or third party's rights; (d) any load, haul, brokerage, shipment, job, ride, or other transaction or meeting you enter into with another member or third party; or (e) your negligence or willful misconduct. We may assume control of the defense of any matter subject to indemnification at your expense, and you will cooperate with us. You may not settle any matter that imposes an obligation on us without our prior written consent.
21. Disputes Between Members
Disputes between members, including disputes about freight, payment, cargo, damage, rides, reviews, or conduct, are solely between those members. We have no obligation to become involved, though we may choose to help. To the fullest extent permitted by law, you release Tea Technologies, Inc. and its officers, directors, employees, agents, and contractors from all claims, demands, and damages of every kind, known and unknown, arising out of or connected with any dispute between you and another member or third party. IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH SAYS: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY." You waive any similar law of any other jurisdiction.
22. Dispute Resolution and Arbitration
Informal resolution first. Before starting arbitration or a court case, the party with a claim must send the other a written notice describing the claim and the relief sought. Send notices to us at the mailing or email address in Section 28; we will send notices to the email address on your account. The parties will try in good faith to resolve the claim for sixty (60) days after the notice is received, and any limitations period is tolled during that time.
Agreement to arbitrate. If the claim is not resolved, you and Tea Technologies, Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including its formation, scope, and enforceability, will be resolved by final and binding individual arbitration, except as stated below. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, or, where you use the Service for business purposes, its Commercial Arbitration Rules, as modified by this Section. The Federal Arbitration Act governs this Section. The arbitrator, and not a court, decides all questions of arbitrability, except that a court decides disputes about the class action waiver below.
Location and costs. Arbitration will take place in York County, Virginia, or, if you are an individual using the Service for personal purposes, in the county where you live, or by video or written submissions if the parties agree. Payment of filing, administration, and arbitrator fees is governed by the AAA rules. The arbitrator may award the same individual relief a court could award.
Exceptions. Either party may bring an individual claim in small claims court if it qualifies. Either party may seek injunctive relief in court to stop infringement or misuse of its intellectual property or unauthorized access to the Service.
Class action waiver. YOU AND WE MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims of more than one person. If this class action waiver is found unenforceable as to a particular claim, that claim will be decided in court, and not in arbitration.
Right to opt out. You may opt out of this agreement to arbitrate by sending a written notice, within thirty (30) days after you first accept these Terms, to Tea Technologies, Inc., Attn: Arbitration Opt-Out, P.O. Box 102, Seaford, Virginia 23696, or to robcarpenter@theteaintel.com with the subject line "Arbitration Opt-Out." Your notice must include your name, the email address on your account, and a clear statement that you are opting out. Opting out does not affect any other part of these Terms.
23. Governing Law and Venue
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules, and by applicable federal law. For any matter that is not subject to arbitration, you and we consent to the exclusive jurisdiction and venue of the state courts located in York County, Virginia, and the United States District Court for the Eastern District of Virginia, Newport News Division.
24. Suspension and Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access, remove your content, revoke verification, or discontinue any part of the Service at any time, with or without notice, if we believe you have violated these Terms or the law, created risk or possible legal exposure for us or other members, or if we stop offering the Service. If we terminate a paid subscription without cause, we will refund the unused portion of your prepaid fees. Sections 3, 6 (What a badge means), 8, 9, 10, 11, 12, 15 (as to amounts owed), and 16 through 29 survive termination.
25. Changes to These Terms
We may update these Terms from time to time. If we make a material change, we will notify you by email or through the Service at least thirty (30) days before it takes effect, except where a change is required by law or addresses a new feature, in which case it takes effect when posted. The updated Terms apply from their effective date. If you do not agree, stop using the Service and delete your account before the change takes effect. Disputes are governed by the version of these Terms in effect when the dispute arose.
26. General
Entire agreement. These Terms, together with the policies they incorporate, are the entire agreement between you and us about the Service and supersede any prior agreements.
Electronic communications. You consent to receive notices, disclosures, and agreements from us electronically, by email or through the Service, and agree that they satisfy any legal requirement that such communications be in writing.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign them without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.
Severability and waiver. If any provision is held unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver of our right to enforce it later.
Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control, including outages of internet, power, telecommunications, cloud hosting, or third-party services; natural disasters; severe weather; war; terrorism; civil unrest; labor disputes; or government action.
No third-party beneficiaries. Except as stated in Section 17 for Apple and in Section 20 for indemnified persons, these Terms do not create rights for any third party.
Headings. Section headings are for convenience only and do not affect interpretation.
